Terms of service

Effective date: 1 October 2026 (proposed)

These terms govern the use of ArkBoss Estate, a CRM for real-estate businesses, operated by [legal entity name and registered address — to confirm] (“ArkBoss”, “we”, “us”). Please read them with our Privacy policy, which is part of them.

1.The agreement

The agreement is between us and the business that opens a workspace (the “customer”). The person who accepts these terms confirms they have authority to bind that business. Where a customer has signed an order form or a separate agreement with us, that document prevails over these terms where they conflict.

2.Workspaces and accounts

  • The customer decides who is invited to its workspace and what each role can see and do, and is responsible for what its users do there.
  • Each user must have their own account. Sign-in details must not be shared, and users must keep them secure and tell the customer’s owner at once if they suspect misuse.
  • The customer must keep its account and billing contact details accurate.

3.Subscriptions, trials and payment

  • The service is sold by subscription, monthly or yearly, at the prices shown when the customer subscribes or in its order form. Prices exclude VAT and other taxes, which are added where they apply.
  • A trial, where offered, gives full use for the period stated. When it ends, the workspace needs a paid plan to continue.
  • Subscriptions renew automatically unless cancelled before the renewal date. Fees already paid are not refundable, except where the law requires or we say otherwise in writing.
  • If a payment fails, the workspace enters a grace period, then becomes read-only until it is paid. Data is not deleted because of a late payment.
  • Usage-based charges from third parties — WhatsApp conversation fees, call minutes, SMS — are billed as the customer’s arrangement with that provider says [whether ArkBoss passes these through or the customer pays the provider directly — to confirm].

4.Your data

  • The customer owns the data it puts into its workspace. We process it only to provide the service, as our Privacy policy and any data processing agreement between us describe.
  • For its contacts’ personal data, the customer is the controller and must have a lawful basis — including consent where the law requires it — for collecting it and for the messages it sends.
  • The customer can export its data at any time while its workspace is active, and can ask us for an export within 30 days after the workspace is closed.
  • We may use aggregated, de-identified statistics about how the service is used to run and improve it. These never identify a customer or a person.

5.Acceptable use

The customer and its users must not use the service to:

  • break the law, including data protection, consumer protection, anti-spam, telecoms and real-estate advertising rules;
  • advertise property without a permit or licence the market requires, or publish misleading listings or prices;
  • store or send content that is unlawful, defamatory, harassing or infringes someone else’s rights;
  • upload malware, probe or overload the service, or try to reach another workspace’s data;
  • resell the service or build a competing product from it without our written agreement.

6.WhatsApp, calls and marketing

  • When a customer connects WhatsApp, it must also follow the WhatsApp Business Terms of Service, the WhatsApp Business Messaging Policy and Meta’s Commerce Policy. Meta can restrict or ban a number that breaks them; we cannot reverse that.
  • Marketing messages may only go to people who have agreed to receive them. Opt-outs must be honoured at once; the service records them and blocks further marketing to that contact.
  • Numbers marked do-not-call are blocked from the dialler. The customer must not work around that block.
  • Where calls are recorded, the customer must tell the people on the call, and obtain consent where the law requires it.

7.Third-party services

Connecting a third-party service — WhatsApp, Google, Microsoft, property portals, telephony or payment providers — is the customer’s choice, and its use is also governed by that provider’s terms. We are not responsible for a third-party service’s availability, or for changes it makes that affect an integration. We will make reasonable efforts to keep integrations working.

8.Availability and support

We aim to keep the service available around the clock, apart from planned maintenance, which we schedule outside business hours in the Gulf and announce in advance where we can. Support is available by [support channels and hours — to confirm]. Any service-level commitment is set out in the customer’s order form.

9.Our intellectual property

We own the service, its software and its design. The customer gets a right to use the service for its own business during its subscription, and nothing more. If the customer sends us feedback, we may use it without obligation.

10.Suspension and termination

  • The customer can cancel at any time; the subscription ends at the end of the period already paid for.
  • We may suspend access, with notice where practical, if payment is overdue beyond the grace period, if the service is being used in breach of these terms, or to protect the service or others.
  • Either side may end the agreement if the other materially breaches it and does not fix the breach within 30 days of notice.
  • When a workspace is closed, its data is kept for 30 days, during which the closure can be undone or an export requested. After that it is permanently deleted, as our Privacy policy describes.

11.Warranties and liability

We provide the service with reasonable skill and care. Beyond that, and to the extent the law allows, the service is provided “as is”, without other warranties.

To the extent the law allows, neither side is liable for indirect or consequential loss, or for lost profits, revenue or data, and each side’s total liability under the agreement is limited to the fees the customer paid in the 12 months before the claim. These limits do not apply to liability that cannot be limited by law, to the customer’s payment obligations, or to a breach of the acceptable-use or data-protection obligations.

The customer will indemnify us against third-party claims arising from its data or from messages sent through its workspace in breach of these terms.

12.Changes, law and disputes

  • We may update these terms. We will give workspace owners at least 30 days’ notice by email of a material change; continuing to use the service after that means accepting it.
  • These terms are governed by the laws of [governing law — the Sultanate of Oman or the UAE / an emirate — to confirm], and disputes go to the courts of [venue — to confirm], unless the parties agree arbitration.
  • If any part of these terms is unenforceable, the rest still applies. Where these terms are translated, the English text prevails.
